Terms of Sale

These Terms of Sale govern direct purchases of the AI VM Setup Blueprint from AgentSphere GmbH through agentsphere.cloud. The order summary, the commercial licence included with the Blueprint and these terms form the agreement.

1. Seller and contact

AgentSphere GmbH, Rüttenscheider Str. 120, 45131 Essen, Germany. Email: info@agentsphere.cloud. Further company and register information is available in the Imprint.

2. Product and conclusion of the contract

The Blueprint is digital content consisting of skills, instructions, scripts, templates, examples and documentation. The product description and order summary shown before payment define the purchased package. The contract is concluded when payment is confirmed and access is made available.

3. Price and payment

The total price, applicable VAT and available payment methods are shown before the order is submitted. Payment is processed through the payment provider identified at checkout. Cloud-provider fees, AI subscriptions, API usage and optional Guided Launch services are not included unless expressly stated.

4. Delivery and updates

The initial package is provided through the access page and may be downloaded as a zip. Repository access is provided after the required Git identity is connected. Updates included for 12 months are delivered only through the private Git repository. Third-party accounts and services remain subject to their own terms.

5. Licence

One licensee company may use the Blueprint an unlimited number of times across its own virtual machines and environments and when providing services on client-owned or client-controlled environments. Generated client-specific deliverables may be handed to that client. The Blueprint itself may not be published, redistributed, sublicensed or resold. The complete commercial licence included in the package governs the permitted use.

6. Immediate delivery and withdrawal rights

Mandatory consumer rights remain unaffected. Where a consumer requests access before the statutory withdrawal period ends, delivery starts only after the consumer expressly consents to immediate performance and acknowledges that the withdrawal right is lost when performance begins. The contract confirmation records that consent and acknowledgement.

7. Execution responsibility and defects

The Blueprint assists an operator and does not independently operate infrastructure. The buyer remains responsible for targets, credentials, approvals, costs and review of agent actions. Statutory rights concerning defective digital content remain unaffected. Any warranty or liability limitations in the commercial licence apply only to the extent permitted by mandatory law.

8. Governing law and venue

The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods. A choice of German law does not deprive consumers of mandatory protection granted by the law that would otherwise apply. If the buyer is a merchant, a legal entity under public law or a special fund under public law, the exclusive venue is Essen, Germany. Mandatory statutory venues remain unaffected.

9. Final provisions

If one provision is invalid or unenforceable, the remaining provisions continue to apply. Individual agreements recorded in the order or invoice take precedence where they conflict with these general terms.
